Maypop Grove client intake mutual non-disclosure agreement
Effective date: 1/1/2026
Parties: Maypop Grove (“Maypop”) and the booking individual and/or their organization (“Client”). Together, the “Parties.”
1. Purpose
The Parties may exchange Confidential Information to evaluate or conduct professional services (including consults, advisory, workshops, sprints, and related support) (the “Purpose”).
2. Definition of Confidential Information
“Confidential Information” means non-public information disclosed by either Party, whether oral, written, visual, or electronic, including business plans, strategies, financials, customer information, product concepts, research, internal operations, personnel information, and any materials marked or reasonably understood to be confidential.
3. Exclusions
Confidential Information does not include information that:
a) is or becomes public through no fault of the receiving Party,
b) was already known by the receiving Party without confidentiality obligation,
c) is independently developed without use of the disclosing Party’s Confidential Information, or
d) is received lawfully from a third party without breach of duty.
4. Obligations
The receiving Party will:

use Confidential Information only for the Purpose,

protect it using reasonable care (at least the same care used for its own confidential info),

not disclose it to third parties except to employees/contractors who need to know and are bound by confidentiality.
5. Compelled disclosure
If the receiving Party is required by law to disclose Confidential Information, it will (where legally permitted) provide prompt notice and cooperate with reasonable efforts to limit disclosure.
6. Return or destruction
Upon request, the receiving Party will return or destroy Confidential Information, except for routine backups or records retained for legal/compliance purposes.
7. Term
Confidentiality obligations continue for three (3) years from disclosure (or longer for trade secrets as permitted by law).
8. No license
No rights or licenses are granted except as necessary for the Purpose.
9. No warranty
Confidential Information is provided “as is.” Neither Party makes warranties regarding accuracy or completeness for evaluation purposes.
10. Remedies
Unauthorized disclosure may cause irreparable harm; the disclosing Party may seek injunctive relief in addition to other remedies.
11. Governing law

By booking and accepting these terms via checkbox, the Parties agree to this Mutual NDA.
