Maypop Grove client intake terms, assumptions of risk and liability waiver

1. Services
Maypop Grove provides professional consulting, coaching, facilitation, and educational resources related to leadership, change, innovation, delivery practices, and professional development (“Services”). Services may include sessions, workshops, advisory conversations, written materials, frameworks, and related guidance.
2. Not medical/legal/financial advice
Client understands the Services are not medical, mental health, legal, tax, or financial advice, and are not a substitute for licensed professional services. Client will seek appropriate professional support for medical, mental health, legal, or financial concerns. If Client is experiencing crisis or immediate risk, Client should contact emergency services or a crisis hotline.
3. Client responsibility and decision-making
Client remains solely responsible for their decisions, actions, results, and implementation. Maypop Grove does not guarantee specific outcomes. Client agrees to use their own judgment and, when appropriate, consult qualified professionals.
4. Assumption of risk
Client acknowledges that professional development and change work can involve stress, uncertainty, interpersonal dynamics, and difficult decisions. Client voluntarily assumes all risks associated with participating in the Services, including risks related to personal, professional, or organizational outcomes.
5. Limitation of liability
To the maximum extent permitted by law, Maypop Grove and its owners, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, business interruption, or reputational harm, arising out of or related to the Services, even if advised of the possibility of such damages.
6. Cap on direct damages (recommended)
To the maximum extent permitted by law, Maypop Grove’s total liability for any claim arising out of or related to the Services will not exceed the total fees paid by Client for the specific Service giving rise to the claim in the three (3) months preceding the event.
7. Indemnification (optional but common)
Client agrees to indemnify and hold harmless Maypop Grove from claims arising from Client’s misuse of the Services, violation of law, or breach of these Terms.
8. Confidentiality (general)
Maypop Grove will treat Client information as confidential and will not disclose it except:

with Client permission,

to contractors bound by confidentiality for administrative support,

when required by law or court order,

to prevent serious harm, or
-
for de-identified learnings (no identifying details) used to improve materials and practice.
9. Recordings and notes
Sessions may be documented via notes. Recording (audio/video) will occur only with Client consent (or as otherwise agreed in writing). If recorded, recordings are for internal use unless otherwise agreed.
10. Communication and boundaries
Client agrees to respectful communication. Maypop Grove may pause or end Services if behavior is abusive, discriminatory, unsafe, or violates the Code of Practice.
11. Cancellation and rescheduling

12. Governing law / venue

By booking a session or checking the acceptance boxes, Client acknowledges they have read, understood, and agreed to these Terms.
